NACEA is proud to announce the seminar on legal aspects of starting up a company as a partnership. Three experienced lawyers will cover a wide range of legal issues that you may encounter in running your own business. Following their presentations, a panel discussion will answer any specific questions you may have. At the end, you will have the opportunity to talk about your business ideas or share your experience or thoughts on entrepreneurship in the current economic situation.

Bio of speakers
Willard C. Shih
Willard C. Shih is a shareholder on Wilentz, Goldman & Spitzer's Commercial Litigation
Team and co-chair of the firm’s Diversity Committee. His litigation experience
encompasses a wide variety of issues in corporate and commercial law, including
complex contract disputes, shareholder/partnership disputes, unfair competition,
professional malpractice, estate litigation and others, both in the state courts and
federal courts in New Jersey, New York and across the country.
Mr. Shih has been appointed by the New Jersey Supreme Court as Panel Chair of Fee
Arbitration Panel as well as the Supreme Court’s Committee on Civil Practice, and its
Committee on Complementary Dispute Resolution. He is also a member of the
Middlesex County Bar Association and an officer of the Asian Pacific American Lawyer's
Association. Mr. Shih has also lectured on Civil Trial Preparation for the New Jersey
Institute for Continuing Legal Education. He was selected by NJBIZ as a Forty Under 40
award recipient, and is the recipient of the Outstanding Legal Achievement Award from
the New Jersey Chinese American Chamber of Commerce.
Prior to joining the firm, Mr. Shih was associated first with the firm of Cahill Gordon &
Reindel and then Patterson, Belknap, Webb & Tyler, LLP, representing private
corporations and individuals on a wide variety of matters, including antitrust,
employment, First Amendment, intellectual property, and unfair competition. During
law school, Mr. Shih was an associate editor of the Fordham Law Review and authored a
publication discussing a constitutional law issue.
William W. Uchimoto
Bill is a shareholder in Buchanan Ingersoll & Rooney PC. As a leading securities regulatory and compliance attorney, he represents brokerdealers,
investment advisors, securities exchanges, hedge funds, public and private
companies and other financial market participants regarding various transactional and
regulatory matters. His practice combines regulatory, transactional and litigation
components to provide integrated corporate finance and securities regulatory services
to clients.
As chair of Buchanan's China Practice Group, Bill represents Chinese companies in
becoming U.S. public companies and establishes their listing on U.S. securities
exchanges such as Nasdaq. As early as 1998 when Chinese domestic capital
markets were not open to international investors, in his position as general counsel of
a Nasdaq-listed company, he played a key role in negotiating with Asian financial
institutions toward securing multiple financings and the launch of a global securities
trading system for Asian broker-dealers and investment managers in Hong Kong. Bill
regularly travels to China, and through his contacts and his experience, has
established extensive business and government contacts there.
Among Bill's significant transactions and representations, he has:
- Most recently represented two Chinese companies — AgFeed Industries, Inc.
and Shiner International, Inc. — in obtaining Nasdaq listing and in supporting
their ongoing corporate governance initiatives.
- Represented a registered national securities exchange in establishing a new
listing program targeting Chinese companies that seek a U.S. exchange listing.
- Represented a securities broker in a special examination by the Securities and
Exchange Commission (SEC) in connection with possible short-sale violations
by an electronic trading system, resulting in the SEC closing the examination
without action.
- Represented brokers before the SEC, FINRA, New York Stock Exchange
(NYSE), and other exchanges and state securities regulators.
- Assisted broker-dealers in securing memberships on FINRA and major
exchanges such as the NYSE.
- Assisted investment advisers in being registered at the state and federal level.
- Advised a broker-dealer in creating its affiliate 403(b)(7) program to sell
securities to teachers in Pennsylvania.
- Represented various directors, officers and employees in connection with civil suits in several major hedge fund fraud cases.
Thomas Zhi Yang
Thomas Z. Yang joined Buchanan Ingersoll & Rooney PC in October, 2008, focusing on listing and financing of
China-based companies in the American capital markets as
well as advising on Chinese corporate, M&A, and finance
laws.
Previously, Thomas worked as judge, governmental official,
and corporate lawyer in China. The experience in working
as both governmental regulator and counsel for market
players provides him with a broad base of knowledge about
Chinese law, economics, and society. As a result of his
work in China, Thomas has established a large network of
governmental regulators and professionals. His insight into
Chinese legal practice and his well-established contacts are
instrumental and beneficial to our clients.
Thomas earned a master’s degree in international law from
China University of Political Science and Law in the
People's Republic of China. At Temple University School of
Law he earned a master’s degree in US law.
With understanding of American law and insight of Chinese
practice, Thomas can effectively communicate with and
create tailored solutions for our Chinese clients.
Hui Ma (panelist)
Hui is the founder of TeckLight LLC. He specialize in intellectual property such as IP prosecution and enforcement in the U.S. and China, IP management and strategies, and due diligence for IP transactions relating to corporate mergers and acquisitions. Previously he worked for seven years as IP Legal Specialist at ANDERSON KILL & OLICK, P.C.
Hui was admitted to New York State Bar in 2008, and he is a member of New York State Bar Association and American Bar Association and member of American Intellectual Property Law Association.
Hui received Masters in Intellectual Property from Franklin Pierce Law Center in 1998. He has a Bachelor of Law from Peking University.
